1. Agreement Overview
This User-Generated Content Upload and License Agreement (“Agreement”) is entered into between you (“User”, “You”, or “Uploader”) and 3dgarage, a [Jurisdiction] entity (“Company”, “We”, “Us”, or “Our”). By uploading any content, including but not limited to 3D models, textures, source files, graphics, metadata, or any related materials (collectively, the “Content”), you agree to be bound by the terms and conditions set forth in this Agreement.
This Agreement governs the submission, licensing, and use of Content uploaded to or through https://www.3dgarage.tech (“Platform”).
2. Acceptance of Terms
By clicking “Upload,” checking any agreement checkbox, or otherwise proceeding to transmit Content to the Platform, you acknowledge that:
You have read and understood this Agreement in full.
You are at least 18 years of age or the legal age of majority in your jurisdiction.
You have the legal authority to bind yourself or any entity you represent.
You consent to the terms described herein regarding the use, redistribution, and licensing of the uploaded Content.
If you do not agree to any term, you may not upload Content to the Platform.
3. Ownership and Intellectual Property Rights
3.1. Retention of Ownership.
You retain all ownership rights and intellectual property rights that you hold in the Content you upload. Uploading Content does not transfer ownership to 3dgarage.
3.2. Third-Party Rights.
You affirm and warrant that you either own all rights, titles, and interest in and to the Content or have obtained appropriate licenses, consents, and permissions from all necessary rights holders, and that the Content does not violate any third-party rights.
4. Grant of License
4.1. License Grant.
By uploading Content to the Platform, you hereby grant 3dgarage a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to:
Use, host, display, reproduce, archive, store, publish, broadcast, modify, adapt, edit, translate, distribute, publicly perform, publicly display, and otherwise make available the Content in any media formats and through any media channels (now known or later developed).
Commercially exploit the Content in connection with the Platform or other products or services, including but not limited to marketing, advertising, promotional activities, monetization, or resale.
4.2. Modifications and Derivative Works.
3dgarage may modify, transform, enhance, compress, crop, or otherwise alter the Content for the purpose of optimization, integration, branding, or presentation and may create derivative works based on the Content without further approval from you.
4.3. Waiver of Moral Rights.
To the extent permitted by applicable law, you waive any and all moral rights you may have in the Content, including rights of attribution or integrity.
5. Usage by Third Parties
You understand and agree that the Content may be redistributed, sublicensed, or made publicly available to other users, partners, or licensees of the Platform for both commercial and non-commercial purposes. 3dgarage bears no liability for how third parties use the Content once it is distributed under this license.
6. No Compensation
You acknowledge and agree that you will not receive any compensation, royalty, payment, or reimbursement of any kind from 3dgarage or its partners for the license granted herein, regardless of how the Content is used or monetized.
7. Warranties and Representations
You represent and warrant that:
You have the full legal right and authority to grant the license set forth herein.
The Content does not infringe on any intellectual property, privacy, or publicity rights of any third party.
The Content does not contain any illegal, obscene, defamatory, or harmful material.
The Content complies with all applicable laws and regulations.
8. Indemnification
You agree to defend, indemnify, and hold harmless 3dgarage, its affiliates, officers, directors, employees, agents, partners, licensors, and licensees from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:
Your breach of this Agreement;
Your violation of any applicable laws or rights of third parties;
Any Content you upload or the consequences of using it.
9. Content Review and Removal
3dgarage reserves the right, but not the obligation, to review, monitor, reject, remove, or edit any Content submitted to the Platform at its sole discretion and without notice. However, the grant of license remains effective even if Content is removed or hidden.
10. Termination
This Agreement remains in force indefinitely and is not terminated upon account deletion, Content removal, or cessation of Platform use. The license granted is irrevocable.
11. Limitation of Liability
In no event shall 3dgarage be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages related to the use, display, modification, distribution, or other exploitation of your Content.
12. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in [Insert Venue].
13. Entire Agreement
This Agreement, along with our Platform’s Terms of Service and Privacy Policy, constitutes the entire agreement between you and 3dgarage regarding the upload and use of Content and supersedes any prior agreements or understandings.
14. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Updates to Agreement
We may update or modify this Agreement from time to time. Continued uploading of Content constitutes your acceptance of such changes. The most current version will always be accessible on the Platform.
